Agreement Overview

These Terms of Service (“Terms”) govern your access to and use of Zarrx products, services, websites, and related offerings (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you agree to these Terms for that organization and represent that you have authority to do so.

Services & Subscriptions

Platform Access

We provide AI-powered software solutions delivered via web applications, APIs, and managed services. Specific features and functionality may vary based on the subscription tier you select.

Beta Features

We may invite you to test preview or beta features. Beta Services are provided for evaluation purposes only, may be modified or discontinued at any time, and are provided on an “as-is” basis without warranty.

Third-Party Integrations

Some Services rely on integrations with third-party platforms (for example, communication, CRM, or data providers). Your use of third-party services is governed by their respective terms and policies.

Accounts & Security

You must provide accurate, current, and complete information when creating an account and keep it updated.
You are responsible for safeguarding your credentials and all activity that occurs under your account.
Notify us immediately at [email protected] if you suspect unauthorized access or a security incident related to your account.
We may suspend or terminate access if we reasonably believe your account has been compromised or is being used in violation of these Terms.

Customer Responsibilities

Acceptable Use

You agree not to misuse the Services or assist anyone else in doing so. Prohibited activities include, but are not limited to, interfering with the Services, attempting to access them using a method other than the interface provided, or using the Services for unlawful, harmful, or abusive purposes.

Content & Data

You retain ownership of the content you upload or generate through the Services (“Customer Data”). You grant Zarrx a limited license to process Customer Data for the purpose of providing and improving the Services, consistent with applicable law and our Privacy Policy.

Compliance

You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including obtaining any required consents for data collection or communications with your end users.

Fees & Payment Terms

Subscription fees are invoiced in accordance with the plan you select and are due within the timeframe stated on the invoice.
Fees are non-refundable except where expressly required by law or outlined in a signed agreement.
Late payments may accrue interest at 1.5% per month (or the maximum amount allowed by law, if lower) and may result in suspension of Services.
All fees are exclusive of applicable taxes, duties, and charges, which you are responsible for paying.

Intellectual Property

Our Rights

Zarrx and its licensors own all rights, title, and interest in the Services, including software, designs, trademarks, documentation, and related intellectual property. Except for the limited rights expressly granted in these Terms, no other rights are conveyed.

Feedback

We welcome suggestions, comments, and feedback. By submitting feedback, you grant Zarrx a non-exclusive, royalty-free, perpetual license to use it without restriction or obligation to you.

Confidentiality & Security

Confidential Information

Each party agrees to protect the other party’s confidential information using commercially reasonable safeguards and to use such information only for purposes related to these Terms.

Security Measures

We implement industry-standard technical and organizational measures designed to protect the Services and Customer Data. You acknowledge that no method of transmission or storage is completely secure.

Data Protection

We process personal data in accordance with applicable data protection laws and our privacy commitments.

Termination & Suspension

By You

You may terminate your subscription at the end of your current term by providing written notice in accordance with your plan or agreement.

By Zarrx

We may suspend or terminate access to the Services if you violate these Terms, fail to pay fees, or create a security risk. We will use reasonable efforts to provide notice and an opportunity to cure where practical.

Effect of Termination

Upon termination, your right to access the Services will end. We will make Customer Data available for export for a limited time, after which it may be deleted in accordance with our data retention policies.

Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS.
ZARRX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Services will be uninterrupted, error-free, or meet your specific performance requirements.

Limitation of Liability

To the maximum extent permitted by law, Zarrx’s total liability for any claims arising out of or relating to these Terms or the Services is limited to the fees paid (if any) by you to Zarrx for the Services during the twelve (12) months preceding the event giving rise to liability. We are not liable for any indirect, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, or data.

Indemnification

You agree to defend, indemnify, and hold harmless Zarrx, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Services or your violation of these Terms.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in San Francisco County, California, and each party consents to the jurisdiction of such courts.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (such as by email or within the Services). By continuing to use the Services after changes take effect, you agree to the revised Terms.
